On December 1, 2011, OTP issued $140 million aggregate principal amount of its 4.63% Senior Unsecured Notes due December 1, 2021 pursuant to a Note Purchase Agreement dated as of July 29, 2011 (the 2011 Note Purchase Agreement). OTP also has outstanding its $122 million senior unsecured notes issued in three series consisting of $30 million aggregate principal amount of 6.15% Senior Unsecured Notes, Series B, due 2022; $42 million aggregate principal amount of 6.37% Senior Unsecured Notes, Series C, due 2027; and $50 million aggregate principal amount of 6.47% Senior Unsecured Notes, Series D, due 2037 (collectively, the 2007 Notes). On August 21, 2017 OTP used borrowings under the OTP Credit Agreement to retire the $33 million 5.95%, Series A Senior Unsecured Notes, which had been issued under the 2007 Note Purchase Agreement and matured on August 20, 2017.

We rely on a limited number of vendors to supply the PVC resin used in our plastics business. Two vendors provided over 99% of our total purchases of PVC resin in 2018 and 2017. In addition, the supply of PVC resin may be limited primarily due to manufacturing capacity and the limited availability of raw material components. Most U.S. resin production plants are located in the Gulf Coast region, which may increase the risk of a shortage of resin in the event of a hurricane or other natural disaster in that region. The loss of a key vendor or any interruption or delay in the availability or supply of PVC resin could disrupt our ability to deliver our plastic products, cause customers to cancel orders or require us to incur additional expenses to obtain PVC resin from alternative sources, if such sources are available.

On January 29, 2019, the United States received a request for consultations at the World Trade Organization from the European Union challenging the imposition of U.S. antidumping and countervailing duties on Spanish olives. This stems from an investigation where the U.S. Department of Commerce found that olives from Spain were being unfairly dumped in the United States at rates ranging from 16.88 to 25.50 percent. The U.S. Department of Commerce also found that olives from Spain were unfairly subsidized at rates ranging from 7.52 to 27.02 percent.
