The Company may prepay all or any part of the 2026 Notes (in an amount not less than 10% of the aggregate principal amount of the 2026 Notes then outstanding in the case of a partial prepayment) at 100% of the principal amount prepaid, together with unpaid accrued interest and a make-whole amount; provided that if no default or event of default exists under the 2016 Note Purchase Agreement, any optional prepayment made by the Company of all of the 2026 Notes on or after September 15, 2026 will be made without any make-whole amount. Big Stone South–Ellendale Multi-Value Transmission Project (MVP)—This is a 345 kiloVolt (kV) transmission line that extends 163 miles between a substation near Big Stone City, South Dakota and a substation near Ellendale, North Dakota. The cost allocation is designed to ensure the costs of transmission projects with regional benefits are properly assigned to those who benefit. Construction began on this line in the second quarter of 2016 and the line was energized on February 6, 2019. OTP’s capitalized costs on this project as of December 31, 2018 were approximately $106 million, which includes assets that are 100% owned by OTP.
